WAIVER AND RELEASE FROM LIABILITY In consideration of being permitted to participate in YGP Dance Events (as defined below), I, , who is years old (“Contestant”), or in the event Contestant is not 18 years of age as of the time of signing this Agreement, Contestant’s parent or legal guardian (“Parent”) (Contestant and/or Parent shall collectively hereinafter be referred to as: “I,” “me,” “my” or “myself”), hereby waive and release, and forever discharge Youth Grand Prix Inc., a non-profit foundation (“YGP” or “Company”), and its agents, employees, officers, directors, board members, founders, managers, trustees, affiliates, volunteers, teachers, school directors, successors and assigns, founder, and all other persons or other entities associated with Company (hereinafter collectively referred to as “Company”) from any and all claims, demands, debts, contracts, expenses, causes of action, lawsuits, damages, liabilities, and judgments of every kind and nature whether known or unknown, in law or equity (collectively, “Losses”), that Contestant or Parent may ever have arising from or in any way related to Contestant’s participation in any of the competitions, events or related activities conducted by Company (hereinafter “YGP Dance Events”), including travel to and from YGP Dance Events and performance in YGP Dance Events. Notwithstanding the foregoing, this waiver and release of liability (the, “Waiver and Release”) does not apply to any acts by Company of gross negligence, or intentional, willful or wanton misconduct. YGP Dance Events include, but are not limited to, any and all rehearsals, live performances, dance classes, recordings of performances, events, use of any Company facilities or facilities rented by Company, use of any Company equipment, practicing and/or engaging in organizational functions, travel to and from competitions or host cities, and any and all other Company engagements or functions in domestic or international locations. Contestant and/or Parent acknowledge and agree that the YGP Dance Events in which Contestant participates in may pose a risk of personal injury to Contestant, Parent and any other family members traveling with Contestant, including a risk of serious injury or death, as well as loss, theft, or damage to Contestant and/or Contestant’s Parent and family members personal property. Contestant and/or Parent voluntarily assume full responsibility for all known and unknown risks associated with Contestant’s participation in the YGP Dance Events; therefore, on behalf of myself, my family, my heirs, assigns, and next of kin, Contestant and/or Parent forever waive and release Company of any and all liability for any loss, theft, or damage to any of Contestant’s and Parent’s personal property and for any and all personal injuries to Contestant, Parent and Contestant’s family members, including serious injury or death, as a result of my participation in the YGP Dance Events. Contestant and/or Parent additionally acknowledge and voluntarily assume the risk that Contestant, Parent and Contestant’s family members may become exposed to or infected by COVID-19 at the YGP Dance Events due to the contagious nature of COVID-19 and close proximity to other program participants, and that such exposure or infection (before, during or after event) may result in personal injury, illness, permanent disability, and even death. I understand that the risk of becoming exposed to or infected by COVID-19 at the YGP Dance Events may result from the actions, omissions, or negligence of myself and others, including, but not limited to, Company employees, volunteers, teachers, school directors and program participants and their families. Because COVID-19 is extremely contagious and is spread mainly from person-to-person contact, YGP has put in place preventative measures to reduce the spread of COVID-19. However, YGP cannot guarantee that its performers, organizers, participants, volunteers, partners, or others in attendance (collectively, “Participants”) will not become infected with COVID-19 during YGP Dance Events. Contestant and/or Parent voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury to myself and/or my family members and forever waive and release Company of any and all liability associated with any such COVID-19 exposure or infection. I additionally acknowledge and agree that the YGP Dance Events in which I am participating involve or may involve overnight travel. I am aware that travel, including overnight travel and accommodations, involves certain risks, including but not limited to: serious personal injuries, illness, assault, property damage and theft, or even death as a consequence. These injuries may be the result of my own actions or inactions or those of others, conditions of transportation or accommodations, weather conditions, negligent first aid operations and procedures, and other risks not known to me or not reasonably foreseeable at this time. I further acknowledge and agree that any injury, illness, damage, loss, disability, or death that I may sustain by any means is my sole responsibility, except as explicitly specified in this Waiver and Release. Contestant or Parent hereby attest that Contestant is physically and mentally fit to participate in the YGP Dance Events and that Contestant does not have any medical history that could be aggravated by Contestant’s participation in the YGP Dance Events and acknowledge and agree that I am responsible for consulting with Contestant’s health care provider towards this end. In consideration of Contestant being permitted to participate in YGP Dance Events, and without any further consideration from Company to Contestant, Contestant and/or Parent hereby waive any and all rights Contestant may obtain from my participation in the YGP Dance Events and hereby grant Company the irrevocable and unlimited right to use Contestant’s name, likeness, images of Contestant’s face or body (whether motion or still), biographical information (including physical and email address), images and/or recordings of Contestant’s voice and Contestant performing, including, but not limited to, in the YGP Dance Events, rehearsals, classes, outtakes, interviews and “real-life” portrayals of the circumstances leading up to Contestant’s participation in current and all prior YGP Dance Events (collectively, my “Name and Likeness”), throughout the universe, in connection with Contestant’s participation in YGP Dance Events, in any and all manner and media as Company may determine, in its sole and absolute discretion, whether now known or hereafter created, including, but not limited to, on videos, motion pictures, television, radio, print media, social media, streaming media, satellite radio and on the internet, whether for profit or otherwise, internationally or domestically, or whether for publicity, marketing or advertising materials and related promotional activities (collectively, the “Works”), and hereby waive any and all rights I may have to any and all compensation from the use of my Name and Likeness for such Works. Contestant additionally acknowledges and consents to the sharing of Contestant’s Name and Likeness with YGP’s trusted third party partners for the purpose of marketing products and/or services related to dancers. Contestant and/or Parent expressly release and forever discharge Company from and against any and all claims that Contestant has or may have for invasion of privacy, defamation, moral rights or any and all other cause of action arising out of the use of Contestant’s Name and Likeness in the Works. Contestant and/or Parent acknowledge and agree that Company may edit, adapt, modify, alter and enhance the Works as it desires and may use the Works or excerpts therefrom in any way without limitation, including the right to substitute the voice of other persons for the Contestant's voice upload and post the Works online. Contestant and/or Parent additionally acknowledge and agree that Company shall be under no obligation to use or exploit the Works or the Contestant’s Name and Likeness. Contestant and Parent, on behalf of myself, my personal representatives, heirs, executors, administrators, agents, and assigns, hereby agree to forever defend, indemnify and hold harmless Company from any and all liability, including any and all claims, demands, damages, expenses, causes of action (known or unknown), suits, or judgments of any and every kind (including attorneys' fees), arising from any injury, damage, death or other Losses that I may suffer as a result of my participation in the YGP Dance Events , REGARDLESS OF WHETHER THE INJURY, DAMAGE, DEATH OR LOSSES ARE CAUSED BY COMPANY OR OTHERWISE, UNLESS THE INJURY, DAMAGE OR DEATH IS SOLELY CAUSED BY COMPANY’S, GROSS NEGLIGENCE OR INTENTIONAL, WILLFUL AND WANTON MISCONDUCT. Contestant and/or Parent further agree that, in the event that Contestant, Parent, or any of my family members, personal representatives, heirs, executors, administrators, agents, assigns or any other third party attempts to assert any claims, demands, causes of action (known or unknown), suits, or judgments of any and every kind (including attorneys' fees) against Company, arising from any injury, damage, death or Losses I sustain as a result of Contestant’s participation in YGP Dance Events, including but not limited to any injury resulting from my own negligence, gross negligence or intentional misconduct during or related to the YGP Dance Events , CONTESTANT AND PARENT AGREE TO DEFEND AND INDEMNIFY COMPANY AGAINST SUCH CLAIMS, DEMANDS, CAUSES OF ACTION (KNOWN OR UNKNOWN), SUITS, AND/OR JUDGMENTS OF ANY AND EVERY KIND (INCLUDING ATTORNEYS' FEES), TO THE FULLEST EXTENT PERMITTED BY LAW. This Waiver and Release contains the entire agreement between myself and Company, and supersedes any and all prior written or oral agreements between myself and Company concerning the subject matter of this Waiver and Release. This Waiver and Release, or any portion thereof, may only be amended, modified, supplemented or otherwise altered with the express written consent of all parties hereto. Oral waivers, alterations, amendments, and modifications of the terms of this Waiver and Release are not permitted. This Waiver and Release shall be governed by, and construed and enforced in accordance with, the laws of New York, without regards to its conflicts of laws provisions. This Waiver and Release will continue in full force and effect in perpetuity and can only be terminated pursuant to the terms of this agreement or by operation of law. If any provision or provisions of this Waiver and Release shall be held to be invalid, illegal, unenforceable or in conflict with the law of any jurisdiction, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. Contestant and/or Parent expressly acknowledge having independently evaluated the terms and conditions contained herein and having sought the advice of independent legal counsel with respect thereto, and have not relied upon any representations of Company or its representatives or agents with respect to the Waiver and Release. This Waiver and Release shall be binding upon, and shall inure to the benefit of, the parties hereto and their respective successors in interest, licensees, heirs, executors, administrators, subsidiaries, affiliates and assigns. The terms and conditions set forth in this Waiver and Release are confidential. After the execution of this Waiver and Release by the parties, the terms and conditions of this Waiver and Release shall not be disclosed to anyone without the express written permission of the non-disclosing party. In the event Company is required to retain an attorney to represent its interests in any action or proceeding arising out of or to enforce any provision of this Waiver and Release, Contestant and/or Parent hereby acknowledge and agree that Contestant and/or Parent shall be liable to Company for reasonable attorneys’ fees and costs incurred in that action or proceeding, or in the enforcement of any judgment or award rendered. Contestant and/or Parent have read, understand, and fully agree to the terms of this Waiver and Release. Contestant and/or Parent understand and confirm that by signing this Waiver and Release, Contestant and/or Parent have given up considerable future legal rights. I have signed this Agreement freely, voluntarily, under no duress or threat of duress, without inducement, promise or guarantee being communicated to me. My signature is proof of my intention to execute a complete and unconditional Waiver and Release of all liability to the full extent of the law and that this waiver shall endure indefinitely, even through intermittent affiliation with Company. Contestant, or Contestant’s Parent (in the event Contestant is not 18 years or older as of the time of signing), hereby attests that as of this day, I am18 years of age or older, and am mentally competent to enter into this Waiver and Release. Privacy Policy At YGP, we take privacy and the protection of your Personal Data seriously. Personal Data is defined as information that can directly or indirectly identify you or other individuals ("Personal Data") This includes information such as your surname, name, middle name, date of birth, nationality, address, email address, telephone number, parents/guardian contact details, citizenship, photos and videos, biography, gender, age, height, and weight. YGP uses your Personal Data to create schedules, communicate with you, and best assist you in summer placement and full year programs. All Personal Data is processed in accordance with the provisions of REGULATION (EU) 2016/679 of 27th April of 2016 of the European Parliament and of the Council on the protection of individuals with regard to the processing of their personal data. YGP does not disclose participants' personal information to any third party. However, certain general information’s may be used by YGP sponsors, in accordance with the agreement signed by participants upon registration, for occasional notices of promotions or special offers available to YGP participants. These communications will contain unsubscribe links for those wishing to opt out of such notices or to have their data erased.
